1. Acceptance of Terms

Langston Construction Company (“Langston,” “we,” “us,” or “our”) provides the Site to you subject to these Terms. By accessing the Site, browsing pages, submitting a form, downloading a file, or otherwise using any feature, you agree to be bound by these Terms and by the Langston Construction Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.

These Terms apply to the Site only. Construction services, subcontractor agreements, professional service agreements, and any work performed by Langston are governed by separate written contracts that you and Langston enter into. Nothing on the Site, and no part of these Terms, creates a contractor-client, employment, joint venture, partnership, or agency relationship.

We may revise these Terms at any time. Revisions become effective when posted on this page with an updated “Last Updated” date. Your continued use of the Site after revisions take effect constitutes acceptance of the revised Terms.

2. Eligibility and Permitted Users

The Site is intended for visitors located in the United States who are at least 18 years old and have the legal authority to enter into binding agreements on behalf of themselves and any organization they represent. By using the Site, you represent that you meet these requirements.

The Site is designed for business audiences: project owners, engineers, procurement professionals, prospective subcontractors, vendors, employees and applicants, industry associations, and members of the public seeking information about Langston. Use of the Site for any other purpose, including any unlawful purpose, is prohibited.

3. Permitted Use of the Site

You may view and download Site content for personal, internal, non-commercial reference. Any other use requires our prior written permission. Without limiting the foregoing, you agree not to:

• Reproduce, distribute, publish, broadcast, or display Site content on another website, in another product, or in any commercial offering
• Remove, alter, or obscure copyright notices, trademarks, watermarks, or any proprietary markings
• Use the Site or any of its content to train artificial intelligence models, large language models, or any other automated system for resale, redistribution, or commercial derivative products, except as expressly permitted by Langston in writing. Crawling, indexing, and citation by AI search engines and assistants that follow our robots.txt directives is permitted
• Scrape, crawl, harvest, or extract data from the Site through automated means, except for indexing by major search engine crawlers and AI search assistants that respect our robots.txt directives
• Bypass, disable, or interfere with security features, rate limits, or access controls
• Attempt to reverse engineer, decompile, or derive source code from any software made available on the Site
• Upload, transmit, or attempt to introduce viruses, worms, malware, or any other malicious code
• Submit content that is unlawful, defamatory, infringing, harassing, fraudulent, or that violates any third party’s rights
• Impersonate any person or entity, falsely state or misrepresent your affiliation with any person or entity, or use the Site to phish, spam, or harass

We reserve the right to investigate and take appropriate legal action against anyone who violates these Terms, including removing offending content, terminating access, and pursuing civil and criminal remedies.

4. Intellectual Property

The Site and its contents, including text, graphics, photographs, drawings, renderings, project descriptions, audio, video, layouts, source code, software, design elements, and the overall look and feel, are owned by Langston or its licensors and are protected by United States copyright, trademark, trade dress, and other intellectual property laws.

“Langston,” “Langston Construction Company,” the Langston logo, and any related names and slogans used on the Site are trademarks of Langston. All other names, marks, and logos appearing on the Site are the property of their respective owners. Reference to those marks on the Site does not imply endorsement, sponsorship, or partnership unless expressly stated.

Limited license: subject to your full compliance with these Terms, Langston grants you a personal, revocable, non-exclusive, non-transferable license to access and use the Site for the purposes described in Section 3. This license does not grant any right to copy, modify, distribute, sell, or create derivative works from Site content. All rights not expressly granted are reserved.

5. User Submissions

The Site includes forms and portals through which you may submit information to Langston, including the Quote Request Form, General Contact Form, Subcontractor Portal, Newsletter signup, and any future chatbot interface (“Submissions”).

By making a Submission, you represent and warrant that:

• The information you provide is accurate, current, and complete
• You have the right to submit the information and any attached files, and your Submission does not infringe any third party’s rights
• The Submission is not confidential or proprietary unless you have marked it as such and we have agreed in writing to treat it confidentially
• You are not subject to any contractual or legal restriction that would prevent your Submission

By making a Submission, you grant Langston a non-exclusive, royalty-free, worldwide license to use, store, reproduce, and process the Submission for the purposes described in our Privacy Policy and for ordinary business operations such as evaluating leads, qualifying subcontractors, processing your inquiry, and improving our services. We do not claim ownership of your Submission, but we need this license to operate.

We are not obligated to act on, respond to, or maintain any Submission, and we may delete Submissions at any time. Do not submit confidential or sensitive information through the Site unless we have specifically asked you to. Email and web forms are not secure for highly sensitive data.

5.1 Subcontractor Portal

If you submit a subcontractor application, you agree that the information you provide may be shared with our procurement, project management, and risk management personnel and with our insurers, auditors, and legal advisors, in each case for the purpose of evaluating your firm. Submission does not guarantee qualification, prequalification, invitation to bid, award of work, or any business relationship. Any work performed for Langston will be governed by a separate written subcontract.

5.2 Newsletter

If you sign up for our newsletter, you authorize Langston to send you periodic emails about company news, project announcements, industry insights, and similar content. Each email includes an unsubscribe link. You can also unsubscribe by contacting us using the details in Section 14.

6. Project Information and Photography

Project descriptions, photographs, drawings, renderings, and similar content on the Site are intended to illustrate Langston’s experience and capabilities. They are representative, not contractual. They do not constitute warranties, guarantees, or representations regarding any specific project, scope, schedule, budget, performance, or outcome. Past performance does not predict future results, and project conditions vary.

Photographs and renderings may be staged, edited, or composed for marketing purposes. Some images depict completed work, others depict work in progress or representative installations. Image rights are owned by Langston or licensed from project owners, photographers, or partners. Do not reproduce or distribute Site imagery without our prior written permission.

References to specific clients, partners, manufacturers, products, certifications, awards, or industry programs are made in good faith and were accurate as of the time of publication. Names of third parties on the Site do not imply endorsement of Langston unless expressly stated.

7. Disclaimers

The Site and all content are provided “as is” and “as available,” without warranties of any kind, express or implied, to the fullest extent permitted by law. Langston disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted availability.

We do not warrant that the Site will be error-free, that defects will be corrected, that the servers that make the Site available are free of viruses or other harmful components, or that the Site will be available at any particular time.

The Site does not provide engineering, legal, financial, regulatory, or risk-management advice. Information about codes, standards, regulatory programs (including but not limited to NERC CIP-014, AWWA J100, TIA-222, AWIA, OSHA, and federal and state contracting frameworks) is provided for general information only and is not a substitute for licensed professional advice on a specific project.

8. Limitation of Liability

To the fullest extent permitted by law, Langston, its parents, subsidiaries, affiliates, officers, directors, employees, agents, contractors, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of the Site, including loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute services, even if advised of the possibility of those damages.

In no event will Langston’s total cumulative liability arising out of or related to the Site exceed one hundred dollars (USD $100). This cap reflects the free, informational nature of the Site. It does not apply to your separate construction contract with Langston, which is governed by its own terms.

Some jurisdictions do not allow exclusion of certain warranties or limitation of certain damages. To the extent any such limitation is unenforceable, the remaining provisions of this section continue to apply.

9. Indemnification

You agree to defend, indemnify, and hold harmless Langston and its parents, subsidiaries, affiliates, officers, directors, employees, agents, contractors, suppliers, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site, (b) your violation of these Terms, (c) your violation of any third-party right, including intellectual property or privacy, or (d) any Submission you make to us.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.

10. Third-Party Links

The Site may contain links to third-party websites and resources. Those links are provided for convenience only. Langston does not endorse, control, or assume responsibility for any third-party content, products, services, or practices. Following links is at your own risk.

11. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including any violation of these Terms. Sections that by their nature should survive termination will survive, including Sections 4, 7, 8, 9, 12, and 13.

12. Governing Law and Venue

These Terms and any dispute arising out of or related to these Terms or the Site are governed by the laws of the State of South Carolina, without regard to its conflict of laws rules. The exclusive venue and jurisdiction for any dispute is the state and federal courts located in Anderson County, South Carolina, and you irrevocably consent to personal jurisdiction in those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Miscellaneous

These Terms, together with our Privacy Policy and any policy referenced on the Site, are the entire agreement between you and Langston regarding the Site, and supersede any prior agreements regarding the same subject matter. If any provision is held unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. No failure or delay by Langston in exercising any right under these Terms is a waiver of that right. You may not assign these Terms without our prior written consent.
